Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the Wizbang website (wizbang.pro) and the services we provide ("Services"). By accessing the site or engaging our services, you agree to these Terms. If you do not agree, do not use the Services.
2. Services
Wizbang provides fractional executive technology services including Fractional CTO, Fractional CIO, Fractional CISO, and AI Agent Engineering. The specific scope, deliverables, fees, and term for each engagement are set out in a separate Statement of Work ("SOW") or engagement agreement, which supplements these Terms. In the event of a conflict, the SOW controls.
3. Accounts
You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at hello@wizbang.pro if you suspect unauthorized access.
4. Fees and payment
Fees are set out in the applicable SOW. Unless otherwise agreed: retainers are billed monthly in advance; fixed-fee projects are billed per the milestone schedule in the SOW; pass-through costs (audit fees, model/inference, third-party tooling) are billed at cost with supporting documentation. Invoices not paid within 14 days of due date accrue interest at 1.5% per month.
5. Term and termination
Retainer engagements have a 3-month minimum term. After the minimum term, either party may terminate with 30 days' written notice. We may terminate immediately for non-payment or material breach. On termination, you owe fees for all work delivered through the termination date.
6. Confidentiality
Each party will keep the other's confidential information (including business plans, financials, technical systems, and client data) strictly confidential and use it only as necessary to perform the Services. This obligation survives termination for 3 years.
7. Intellectual property
Work product created specifically for your engagement (deliverables, analyses, code) becomes your property upon full payment of fees. Wizbang retains ownership of pre-existing tools, frameworks, methodologies, and general knowledge. We may use anonymized, non-attributable insights from the engagement to improve our services.
8. Warranties and disclaimers
We warrant that Services will be performed with reasonable skill and care. We do not warrant that Services will be error-free or that any specific business outcome will be achieved. THE SERVICES ARE PROVIDED "AS IS" EXCEPT AS EXPRESSLY WARRANTED. WE DISCLAIM ALL IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIZBANG'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL WIZBANG BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10. Governing law
These Terms are governed by the laws of the State of Delaware, United States. Disputes will be resolved by binding arbitration under the JAMS rules, or, where arbitration is not enforceable, in the courts of Delaware. The UN Convention on Contracts for the International Sale of Goods does not apply.
11. Changes to these Terms
We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
